Auxiliary Machines Inc. ("Lattice", "we", "us", "our")

These Terms of Service ("Terms") govern your access to and use of the Lattice platform operated by Auxiliary Machines Inc. at runlattice.com.

By accessing or using Lattice, you agree to these Terms. If you do not agree, do not use the platform.

1. Overview

Lattice is an AI-powered investigation platform for industrial root cause analysis. It assists quality engineering teams with defect investigation, failure analysis, and corrective action workflows.

2. Accounts

2.1 Registration

You must create an account to use Lattice. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity under your account.

2.2 Enterprise Accounts

Lattice is designed for organizational use. An enterprise administrator manages users, projects, and access controls within their organization. Administrators are responsible for managing user access within their organization.

3. Your Data

3.1 Ownership

You retain all rights to data you upload, create, or generate within Lattice, including investigation content, documents, reports, and AI-assisted outputs.

3.2 License to Operate

You grant Lattice a limited, non-exclusive license to process your data solely to provide and improve the service for your organization. This license does not extend to sharing your data with other customers or using it to train models for anyone other than your organization (and only with your explicit consent).

3.3 Data Isolation

Your data is isolated from other organizations at the database and application level. See our Privacy Policy for details.

3.4 Data Export

You may export your investigation data and reports at any time through the platform's export features.

4. Acceptable Use

You agree not to:

• Use Lattice for any unlawful purpose
• Attempt to access another organization's data
• Reverse engineer, decompile, or disassemble any part of the platform
• Interfere with the platform's operation or security
• Share your account credentials with unauthorized individuals
• Use the platform to store data unrelated to investigation and quality management workflows

5. AI-Assisted Features

5.1 Nature of AI Outputs

Lattice uses AI models to assist with investigation workflows. AI-generated outputs (analyses, recommendations, reports) are provided as decision support tools. They do not constitute professional engineering, legal, or regulatory advice.

5.2 Human Oversight

You are responsible for reviewing, validating, and approving all AI-generated content before relying on it for decisions. Lattice provides approval workflows and audit trails to support this review process.

5.3 Accuracy

While we strive for accuracy, AI outputs may contain errors or omissions. Lattice is not liable for decisions made based on AI-generated content without appropriate human review.

6. Intellectual Property

6.1 Platform

Lattice, including its software, design, and documentation, is the intellectual property of Auxiliary Machines Inc. These Terms do not grant you any rights to our intellectual property beyond the right to use the platform as intended.

6.2 Your Content

We claim no intellectual property rights over your data or content. Investigation reports, analyses, and other outputs generated using your data belong to you.

7. Payment

7.1 Fees

Access to Lattice may require payment of fees as described in your order form or subscription agreement. Fees are non-refundable unless otherwise stated in your agreement.

7.2 Changes to Pricing

We may update pricing with at least 30 days' notice before your next billing period.

8. Service Availability

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance with reasonable notice.

8.2 Support

Support is available via [email protected]. Response times depend on your subscription tier.

9. Limitation of Liability

To the maximum extent permitted by law:

• Lattice is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Auxiliary Machines Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claim arising from these Terms shall not exceed the fees you paid in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Auxiliary Machines Inc. from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

11. Termination

11.1 By You

You may terminate your account at any time by contacting [email protected]. Upon termination, your data will be deleted within 30 days.

11.2 By Us

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we discontinue the service with 90 days' notice.

11.3 Effect of Termination

Upon termination, your right to use Lattice ceases. You may request a data export before termination takes effect.

12. General

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

12.3 Modifications

We may modify these Terms with at least 30 days' notice. Continued use after modifications constitutes acceptance.

12.4 Severability

If any provision of these Terms is unenforceable, the remaining provisions remain in effect.

12.5 Entire Agreement

These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Auxiliary Machines Inc. regarding Lattice.
